TERMS AND CONDITIONS

1. CONFIDENTIALITY AGREEMENT

This Confidentiality Agreement ("Agreement") is made between Radical Results Performance Inc. ("RRP") and the client, also is referred to as the participant ("Participant") in the Round Table Mastermind Program (“RTM”). By engaging in the program, the Participant agrees to the terms and conditions outlined in this Agreement to ensure a safe and secure environment for the exchange of sensitive and confidential business information.

Purpose
The purpose of this Agreement is to create a safe space where participants can freely share and disclose private, sensitive, and confidential aspects of their business, including but not limited to financial information, in order to receive honest and candid feedback.

Confidential Information
"Confidential Information" refers to all information or material that has or could have commercial value or other utility in the business in which the Participant is engaged. This includes, but is not limited to, financial data, business plans, strategies, customer lists, trade secrets, and other proprietary information disclosed by the Participants during the program.

Obligations of Confidentiality
a. Non-Disclosure
The Participant agrees to:

• Maintain the confidentiality of all Confidential Information disclosed during the program.
• Use the Confidential Information solely for the purposes of participating in the program and for their own business development.
• Not disclose any Confidential Information to any third party without the express written consent of the disclosing party.

b. Protection of Confidential Information
The Participant agrees to:

• Take all reasonable measures to protect the confidentiality of the Confidential Information.
• Immediately notify RRP of any unauthorized disclosure or use of the Confidential Information.

Information Shared by RRP
All materials, resources, content, and verbal teachings provided by RRP, RRP’s team or speakers during the program, including but not limited to worksheets, videos, guides, digital content, and oral presentations, are intended for the Participant's personal use and their business development only. The Participant agrees not to share, distribute, or disclose these materials and content outside of the intended scope.

Exceptions to Confidentiality
Confidential Information does not include information that:

• Is or becomes generally known to the public through no fault of the Participant.
• Is received from a third party without breach of any obligation of confidentiality.
• Is independently developed by the Participant without use of or reference to the disclosing party's Confidential Information.

Term and Termination of Confidentiality Agreement
This Agreement shall commence upon the Participant's engagement in the program and continue for a period of two (2) years after the termination of their participation in the program. The obligations of confidentiality will survive the termination of this Agreement.

Miscellaneous
a. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which RRP is located. 

b. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.

c. Amendments
This Agreement may be amended or modified only by a written agreement signed by both parties.

d. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement will remain in full force and effect.


2. LIABILITY RELEASE AND PERSONAL TRAVEL INSURANCE

This Liability Release and Personal Travel Insurance Clause is an integral part of the Terms and Conditions agreement entered into by the participants (hereinafter referred to as "Client" or "Clients") of the Round Table Mastermind Program ("RTM"), inclusive of its Live Events, hosted by Radical Results Performance Inc. ("RRP").

Liability Release: 
The Client acknowledges and accepts the risks associated with participating in the RTM, including but not limited to personal injury, illness, emotional distress, and death. Furthermore, the Client recognizes the inherent risks associated with travel, including but not limited to accidents, disease, loss of personal property, and changes in travel plans. Accordingly, the Client hereby releases RRP, its directors, employees, partners, agents, and affiliates (collectively referred to as "Released Parties") from any and all claims, demands, damages, actions, or causes of action, arising out of or in connection with the Client's participation in the RTM, except for those arising from the gross negligence or willful misconduct of the Released Parties.

Personal Travel Insurance: 
The Client acknowledges that it is their sole responsibility to secure comprehensive personal travel insurance for the duration of the RTM and the travel thereto and therefrom. Such insurance must cover, but is not limited to, medical expenses, loss of luggage, personal liability, cancellation and interruption, and emergency repatriation.

Indemnification: 
The Client agrees to indemnify and hold harmless the Released Parties from any and all liabilities, claims, expenses (including legal fees), damages, losses, or injuries that may be suffered by the Client or any third party as a result of the Client's actions or omissions during the RTM, or related travel, except where such liabilities arise from the gross negligence or willful misconduct of the Released Parties.


3. Photo/Videography Consent Release

Consent
The Participant consents to being photographed and videotaped during the course of the RTM Program. This includes, but is not limited to, workshops, seminars, coaching sessions, and other related events.

Usage Rights
The Participant grants RRP the right to use, reproduce, and distribute the photographs and videos in any media, including but not limited to websites, social media, promotional materials, and educational content, without compensation to the Participant.

Protection of Confidential Information
RRP agrees that any photographs and videos used for public distribution will not disclose or reveal any Confidential Information as defined in the Confidentiality Agreement section of this document. RRP will take all necessary measures to ensure that the Participant’s sensitive and confidential business information is not visible or discernible in any media content.

Waiver of Rights
The Participant waives any rights to inspect or approve the finished product, including written or electronic copy, wherein the Participant’s likeness appears. The Participant also waives any rights to royalties or other compensation arising from or related to the use of the photographs or videos.

Revocation
The Participant understands that this consent can be revoked at any time with written notice to RRP. Revocation of consent will not affect any actions taken by RRP prior to the receipt of the revocation.

Governing Law
This Photo/Videography Consent Release shall be governed by and construed in accordance with the laws of the jurisdiction in which RRP is located, without regard to its conflict of law principles.


4. Entire Agreement

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.


5. Acknowledgement

By registering, the Participant agrees to the terms of the Confidentiality Agreement, the Liability Release Agreement, and the Photo/Videography Consent Release as outlined above.
